Terms of Service

1. Acceptance of terms

These Terms of Service ("Terms") govern your access to and use of Loops ("the Service"), provided by Loops, Inc. ("Loops," "we," "us"). By creating an account or otherwise using the Service, you agree to these Terms. If you don't agree, don't use the Service. If you're entering into these Terms on behalf of a studio or company, you represent that you have authority to bind that organization.

2. The Service

Loops provides wallet-pass infrastructure for boutique fitness studios — including pass design, distribution, push notifications via Apple Wallet and Google Wallet, check-in scanning, referral attribution, and integrations with third-party CRMs (e.g. Mariana Tek, Mindbody) and messaging tools (e.g. Klaviyo, Attentive).

3. Your account

You're responsible for safeguarding your account credentials and for all activity under your account. Notify us immediately at security@loops.fitness if you suspect unauthorized access.

4. Studio responsibilities

You're responsible for:

  • The content you distribute through your passes, push notifications, and referral flows.
  • Obtaining all necessary consents from your members before sending them passes or push notifications, including SMS/email opt-in where applicable.
  • Complying with Apple Wallet and Google Wallet platform guidelines, which limit push notifications to pass-relevant updates.
  • Complying with applicable laws including the TCPA, CAN-SPAM, GDPR, and CCPA.

5. Acceptable use

You agree not to: (a) reverse engineer or attempt to access the Service's source code; (b) use the Service to send spam, phishing, or unlawful content; (c) misuse or interfere with the Service or its infrastructure; (d) use the Service to violate any third party's intellectual property or privacy rights.

6. Subscription & billing

Studios are billed on a subscription basis. Fees are listed on the Pricing page and may change with at least 30 days' written notice. Subscriptions auto-renew unless cancelled. Payments are non-refundable except where required by law.

7. Data & privacy

Our handling of personal data is governed by our Privacy Policy. As between us, you own all member data you provide to us. We process member data on your behalf as a service provider / processor.

8. Third-party integrations

The Service relies on third-party platforms including Apple Wallet, Google Wallet, your CRM, and your messaging providers. We're not responsible for the availability, behavior, or policy changes of those third parties.

9. Termination

You can cancel any time from your account settings. We may suspend or terminate your access for material breach, non-payment, or violation of platform guidelines. On termination we'll make a reasonable export of your data available for 30 days.

10. Warranties & disclaimers

The Service is provided "as is" and "as available." To the fullest extent permitted by law, Loops disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of liability

To the fullest extent permitted by law, Loops's aggregate liability for any claim arising out of these Terms or the Service will not exceed the fees you paid us in the 12 months preceding the claim. Loops is not liable for indirect, incidental, consequential, or punitive damages.

12. Changes

We may update these Terms from time to time. Material changes will be announced by email or in-product notice at least 30 days before they take effect.

13. Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of laws principles. Disputes will be brought in the state or federal courts located in Delaware.
